Terms of Service

1. Acceptance of Terms

By accessing or using SmartOnboard ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you ("User," "you") and SmartOnboard Inc. ("Company," "we," "us").

2. Description of Service

SmartOnboard provides a SaaS platform for onboarding analytics, user behavior tracking, and auto-deploy flow building ("Service"). The Service is subject to change as we continually update features like the SmartOnboard Dashboard, JavaScript tracking snippet, and analytics algorithms.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You must be at least 18 years old or the age of legal majority in your jurisdiction to create an account.
  • You must promptly notify us of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the Service or its related systems.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to collect personally identifiable information (PII) of end users without their consent.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Resell, sublicense, or redistribute the Service without written permission.
  • Use the Service to send spam, phishing content, or malicious code.

5. Data Ownership and Processing

5.1 Your Data

You retain all ownership rights to the data you submit to the Service ("Customer Data"). We do not claim any ownership interest in your Customer Data.

5.2 End-User Data

When you install our tracking snippet, you are the data controller for any end-user data collected. We act as a data processor on your behalf. You are responsible for ensuring you have appropriate consent from your end users for data collection in compliance with applicable privacy laws (including GDPR, CCPA, and other relevant regulations).

5.3 Aggregated Data

We may use anonymized, aggregated data derived from your usage of the Service for research, benchmarking, and improving the Service. This data cannot be used to identify you or your end users.

6. Subscription Plans and Billing

  • Free Plan: Available with limitations (100 MAU, 30-day data retention).
  • Paid Plans: Billed monthly or annually. Pricing is as stated on our pricing page at the time of purchase.
  • Renewals: Paid subscriptions automatically renew unless canceled before the end of the billing period.
  • Refunds: We offer a 14-day money-back guarantee on first-time paid subscriptions. After this period, fees are non-refundable.
  • Price Changes: We may change pricing with 30 days' notice. Existing subscriptions will honor the current price until the next renewal.

7. Service Availability

We strive to maintain 99.9% uptime for the Service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will provide reasonable advance notice of planned maintenance when possible.

8. Intellectual Property

The Service, including its design, code, features, documentation, and trademarks, is and shall remain the exclusive property of SmartOnboard Inc. These Terms do not grant you any rights to use our trademarks, trade names, logos, or other brand features without prior written consent.

9. Third-Party Services

The Service may integrate with third-party services (e.g., Supabase, Razorpay, Vercel). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions or policies of third-party providers.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTONBOARD INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Indemnification

You agree to indemnify and hold harmless SmartOnboard Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or violation of any third-party rights.

13. Termination

  • You may terminate your account at any time through your account settings.
  • We may suspend or terminate your account if you violate these Terms or if required by law.
  • Upon termination, your right to use the Service ceases immediately.
  • We will retain your data for 30 days after termination to allow data export, after which it will be deleted.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the courts located in Delaware.

15. Dispute Resolution

Before filing any legal action, you agree to first attempt to resolve any dispute informally by contacting us at smartonboardai@gmail.com. If the dispute cannot be resolved within 30 days, either party may pursue formal proceedings.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide reasonable notice of material changes (via email or in-app notification). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
